By booking, purchasing, accessing, or using any of our services, including recording sessions, mixing and mastering, vocal production, podcast recording, music production and beat making, rehearsal room rental, and audio editing services (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.
If you are using the Services on behalf of a company, band, collective, or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Scope of Services

- Mixing and mastering services;
- Vocal production and guidance;
- Podcast recording and production support;
- Music production and beat making;
- Rehearsal room rental; and
- Audio editing and post-production services.
Service specifications, deliverables, turnaround times, studio rules, and technical requirements may vary depending on the project and will be confirmed at the time of booking, quotation, invoice, or written agreement. We reserve the right to refuse or discontinue any project that violates law, studio policies, safety requirements, or professional standards.
Any dates or times communicated for sessions are estimates unless expressly stated otherwise. We do not guarantee specific creative outcomes, commercial success, distribution approval, or third-party acceptance of delivered materials.
3. User Obligations and Responsibilities
You agree to use the Services responsibly and to comply with all applicable laws, studio rules, and instructions issued by our staff. Without limiting the foregoing, you agree that:
- You will provide accurate, current, and complete information when booking or communicating with us;
- You will arrive on time for scheduled sessions and will ensure that all participants, guests, and collaborators comply with our policies;
- You are solely responsible for the content you bring into the studio, including music, lyrics, recordings, samples, artwork, files, and any other materials;
- You will not bring unlawful, defamatory, harassing, obscene, infringing, or otherwise prohibited content or conduct into the studio environment;
- You will obtain all permissions, licenses, releases, and consents required for your project, including rights in compositions, sound recordings, samples, performances, and likenesses;
- You will follow all safety instructions and will not interfere with studio equipment, systems, furnishings, or operations;
- You are responsible for backing up your own files and retaining copies of any deliverables we provide;
- You will not engage in disruptive, abusive, intoxicated, unsafe, or threatening behavior; and
- You will be financially responsible for any damage caused by you, your guests, or your collaborators to our property, equipment, or facilities, except to the extent caused by our gross negligence or wilful misconduct.
You acknowledge that studio equipment is sensitive and expensive. Unauthorized use, tampering, or attempted repair of any equipment is strictly prohibited.
4. Payment Terms and Conditions
All fees, rates, deposits, minimum booking requirements, and payment deadlines will be communicated before or at the time of booking. Unless otherwise agreed in writing:
- Payments are due in full in advance or upon completion of the session/project, as specified in the invoice or booking confirmation;
- We may require a non-refundable deposit to reserve a date or time slot;
- Hourly sessions may be subject to minimum booking durations and overtime charges;
- Any additional work, revisions, extra studio time, rush requests, or special equipment rentals may incur additional charges;
- All amounts are payable in Canadian dollars (CAD) unless otherwise stated;
- Applicable taxes, including GST/HST/PST where required by law, will be added to the amount due;
- Late payments may be subject to interest at the maximum lawful rate, or if no rate is stated, at a reasonable rate determined by us from the due date until paid in full; and
- We may suspend or withhold Services, files, or deliverables until all outstanding balances are paid.
Chargebacks, payment disputes, or returned payments may result in administrative fees, suspension of Services, and recovery action to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellations affect studio scheduling and may prevent other clients from booking the reserved time. Unless a different cancellation policy is expressly stated in a written agreement or invoice, the following applies:
- Deposits are generally non-refundable once a booking is confirmed;
- Cancellations made within a specified notice period, if any, may be eligible for rescheduling instead of a refund, subject to availability;
- If you fail to appear for a scheduled session, arrive excessively late, or are unable to proceed due to incomplete materials or readiness issues on your part, the booking may be treated as a cancellation or may still be billed in full;
- Refunds, if any, are issued only at our discretion or where required by applicable law;
- Completed services, used studio time, delivered files, and custom creative work are generally non-refundable; and
- If we must cancel due to unforeseen circumstances, our liability will be limited to rescheduling the affected session or refunding amounts paid for the cancelled portion, at our discretion and subject to applicable law.
Any request to reschedule must be made promptly and is subject to availability. Repeated cancellations or no-shows may result in refusal of future bookings.
6. Liability Limitations
To the maximum extent permitted by applicable law in Canada, including the laws of British Columbia and any mandatory consumer protection requirements, Northern Resonance Music Studios Ltd. shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profit, loss of revenue, loss of data, loss of business opportunity, reputational harm, or interruption of business, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to the Services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the amount paid by you to us for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or the minimum amount required by law, whichever is greater.
We are not responsible for:
- Client-provided equipment, instruments, media, or files left on the premises;
- Compatibility issues between our deliverables and third-party software, platforms, or hardware;
- Loss or corruption of files after delivery, particularly where the client fails to maintain backups;
- Third-party claims arising from your content, instructions, or use of the Services; or
- Delays caused by incomplete materials, technical issues outside our reasonable control, or events beyond our control.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that may not lawfully be excluded.
7. Intellectual Property Rights
Unless otherwise agreed in a written transfer or license agreement, all pre-existing rights, studio methods, templates, workflows, arrangements, sound libraries, software presets, proprietary techniques, and know-how used by Northern Resonance Music Studios Ltd. remain our property or the property of our licensors.
Subject to full payment of all amounts due, and unless otherwise agreed in writing:
- You own the rights to your underlying lyrics, compositions, performances, and source materials that you supply, subject to any third-party rights and licenses you must obtain;
- We may retain copies of project files, session notes, and technical records for backup, quality control, dispute resolution, and internal business purposes;
- Any transfer of ownership in masters, sessions, stems, beats, or other deliverables must be expressly stated in writing;
- If we create original beats, compositions, arrangements, or other creative works, ownership and permitted use will be governed by the applicable written agreement, invoice terms, or license terms; and
- You grant us a limited, non-exclusive, royalty-free license to use your materials as reasonably necessary to provide the Services.
You represent and warrant that you have all necessary rights to supply any content, and that our use of your content as instructed by you will not infringe or misappropriate any third-party rights.
Unless you provide prior written consent, we will not publicly release your unreleased recordings or confidential project materials, except as required by law or to protect our legal rights.
8. Data Protection and Privacy
We are committed to handling personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation where relevant.
By using the Services, you consent to the collection, use, disclosure, and retention of personal information reasonably necessary to administer bookings, provide Services, process payments, communicate with you, maintain records, manage disputes, improve operations, and comply with legal obligations.
We may collect information such as your name, contact details, billing information, booking history, project details, communications, and technical information related to service delivery. We may share personal information with payment processors, cloud storage providers, technical service providers, accountants, legal advisers, or other third parties only as reasonably necessary for business operations or as required by law.
You are responsible for ensuring that any personal information, likenesses, voices, or other data you provide for your project are collected and used lawfully, including obtaining any required consents from performers, guests, or other individuals featured in your recordings.
We use reasonable safeguards to protect personal information; however, no method of transmission or storage is completely secure. To the fullest extent permitted by law, we are not liable for unauthorized access or disclosure caused by circumstances beyond our reasonable control.
9. Force Majeure
We shall not be liable or responsible for any failure or delay in performing our obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, earthquake, power outages, internet or telecom failures, equipment breakdowns, labour disputes, epidemics, pandemics, government orders, war, civil unrest, terrorism, supply shortages, or acts of third parties.
During a force majeure event, our obligations will be suspended for the duration of the event, and we may reschedule, modify, or cancel affected Services without liability except to the extent required by law.
10. Changes to Terms
We may update or modify these Terms at any time by posting the revised version on our website, providing notice by email, or otherwise communicating the update to you. The revised Terms will become effective on the date specified in the updated version or, if no date is specified, upon posting.
Continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services and, if applicable, cancel any future bookings in accordance with our cancellation policy.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any booking or transaction with Northern Resonance Music Studios Ltd. shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for the resolution of any dispute arising under or in connection with these Terms, subject to any mandatory rights you may have under applicable law.
